Services and pricing

  1. General Terms

    1. This Addendum sets out the conditions for the provision of Services and establishes the applicable pricing, payment procedures, and the rights and obligations of the parties.
    2. For the purposes of this Addendum, the Services are defined as information services enabling the Client to access the functional features of the Service related to tracking shipment statuses by supported identifiers, including container numbers, booking numbers, and bill of lading numbers.
    3. The following terms and definitions apply in this document and in all documents arising from or related to it:
      • Website — an Internet resource located on a domain name https://timetocargo.com, which carries out its activities through an Internet resource and related Services.
      • Client — an individual, a corporation, a partnership, a joint venture, a trust, an unincorporated organization and any other legal entity that is registered with TimeToCargo to use the Services.
      • Shipment — a tracking unit representing tracking data requested by the Client with respect to one of the following identifiers supported by the Service: a unique container identified by container number or a shipment identified by booking number or bill of lading number.
      • Subscription — a service providing the Client with access to information regarding changes in the status and estimated arrival/departure dates of one Shipment during the term of the selected Pricing Plan.
      • Pricing Plan — a package of Services provided to the Client during the billing period, which includes a specified number of Shipments. A Pricing Plan may include a discount depending on the number of Shipments included.
      • API — a public Application Programming Interface designed to provide tracking information on Shipments, supplied by the Contractor via a unique API key delivered to the Client through the Client’s Personal Account or by any other secure method agreed between the parties.
      • Personal Account — a restricted-access section of the Website available to the Client via login credentials.
    4. The Services and Shipments are provided under the concluded service agreement with Terms of Service and are considered rendered once access to the Shipment status monitoring system is granted.
    5. All conditions outlined in this Addendum are binding upon the parties and remain in effect throughout the entire term of the Pricing Plan.
    6. Any amendments or additions to the Terms of Service must be formalized in writing and agreed upon by the parties. The Contractor reserves the right to modify the pricing and conditions of service provision.
  2. Description of Services

    1. A Subscription for tracking Shipments status changes includes the provision of information to the Client regarding the current status of the Shipment specified by the Client using a container number, booking number, or bill of lading number supported by the Service. Information regarding changes in Shipments statuses is provided to the Client by posting the corresponding data in the Personal Account and through API via API key. Any other methods of providing such information are permitted only upon separate agreement between the parties.
    2. The information on the movement of Shipments includes current location and status, movement history, ports and dates of departure and arrival, as well as other transportation-related events (where such data are available from third-party information sources). List of third-party open information sources provided at https://timetocargo.com/tracking. The Contractor shall not be liable for loss, delay, or distortion of data caused by the unavailability or inaccuracy of third-party information open sources.
    3. The Subscription remains valid for the entire duration of the current Pricing Plan period. The number of active Shipments during the billing period is determined by the Pricing Plan selected by the Client.
    4. Access to the Services is provided through the Client’s Personal Account at https://timetocargo.com/account information portal or through the Contractor's information system in accordance with the documentation available at: https://tracking.timetocargo.com/v2/docs.
  3. Pricing

    1. The cost of providing Services within a Billing Period is determined by the established quota of tracked Shipments, the base cost of tracking a single Shipment, and the discount schedule applicable to certain quota levels. The total cost of the Services is calculated based on the base cost multiplied by the selected quota and the applicable discount corresponding to that quota. The cost of the Services includes access to the Client’s Personal Account on the Website with an active Subscription set to the selected quota of tracked Shipments, as well as access to the methods of the public API interface, granted via an API key.
    2. The base cost of tracking one Shipment within a single Billing Period is $1.5 (one and a half USD).
    3. The discount depends on the Pricing Plan selected by the Client and is as follows:
      • at least 30 Shipments (inclusive) — 5% discount;
      • at least 50 Shipments (inclusive) — 10% discount;
      • at least 100 Shipments (inclusive) — 15% discount;
      • at least 300 Shipments (inclusive) — 20% discount;
      • at least 500 Shipments (inclusive) — 25% discount;
      • at least 1000 Shipments (inclusive) — 30% discount.
    4. The Contractor provides the Client with the option to select a quota of tracked Shipments starting from a minimum of 5 Shipments per month. If the Client needs to track more than 1000 Shipments per month, the terms and cost of the Pricing Plan shall be determined individually, subject to mutual agreement.
    5. For billing and quota purposes, each tracked container, each tracked booking, and each tracked bill of lading is counted as one Shipment, regardless of the number of containers associated with such booking or bill of lading.
    6. A booking number or a bill of lading number shall be charged as one Shipment only where the Client requests tracking by such booking number or bill of lading number. If the Client requests tracking by separate container numbers, each such container shall be treated and billed as a separate Shipment, even if multiple such containers relate to the same booking or bill of lading.
  4. Terms of Service

    1. An increase in the quota of tracked Shipments during the current Billing Period is considered an additional service and is billed based on the base cost of one Shipment multiplied by the amount by which the quota is increased.
    2. The Client may at any time refuse further renewal of their Pricing Plan by notifying the Contractor through the Personal Account interface or by any other method provided for in the Terms of Service. Services paid for prior to the refusal of renewal shall be rendered in full until the end of the current Billing Period, and no refund or recalculation shall be made for any unused portion of the period.
    3. The Client has the right to switch to another Pricing Plan at any time before the end of the current billing period. In the event of such a switch, the cost of the new Pricing Plan is calculated taking into account the unused balance of the active Pricing Plan. The specific procedure for calculating the cost of the transition is determined by the Contractor and displayed in the Personal Account.
    4. If insufficient funds are available on the linked card at the time of the scheduled charge, the Client must make the payment manually within 24 hours. If payment is not received, the Contractor is entitled to suspend the provision of the Services until full payment is made.
    5. Changes to the Pricing Plan, cancellation of renewal, and any other modifications to the Service terms are permitted only if the Client has no outstanding debt for previously provided Services.
    6. The Client is entitled to use a trial period for any Pricing Plan specified in the Personal Account.
      1. The trial period is granted for seven (7) calendar days and provides full access to the selected Pricing Plan’s functionality. Upon expiration of the trial period, the Client is automatically switched to the selected Pricing Plan, and the full fee is charged.
      2. As a mandatory condition for activating the trial period and for subsequent automatic billing, the Client must link a valid payment card or any other payment issuer accepted by the Contractor to Personal Account.
      3. The Client may cancel further provision of the Services before the trial period ends, thereby preventing automatic billing. Cancellation is performed by the Client independently through the Personal Account.
